TERMS OF USE & GENERAL POLICIES

These Terms of Use ("Terms") govern your use of the website located at motivaction.academy and all associated services, products, programs, and content offered by MotivAction LLC ("MotivAction," "we," "us," or "our"). By accessing our website or purchasing any product or service, you agree to be bound by these Terms.
1. SERVICES OVERVIEW
MotivAction LLC offers the following services, each subject to additional terms below:
- Live trainings, workshops, and certification programs
- Online self-paced courses
- Private coaching engagements
- Retreat experiences
- Speaking and corporate training engagements
2. NOT A SUBSTITUTE FOR PROFESSIONAL ADVICE
All content, coaching, training, and programs offered by MotivAction LLC are for educational and personal development purposes only. Nothing provided by MotivAction LLC — including but not limited to coaching sessions, online courses, workshops, or any written or spoken content — constitutes or replaces professional medical, psychological, psychiatric, legal, or financial advice. If you are experiencing a mental health crisis or require clinical support, please contact a licensed professional. MotivAction LLC coaches and trainers are not licensed therapists, psychologists, doctors, or attorneys.
3. TUITION & PAYMENT — LIVE TRAININGS
By completing checkout for a live training, workshop, or certification program, you agree to pay MotivAction LLC the full tuition amount for your selected event. Tuition includes session access and applicable course materials. Transportation, lodging, and meals are not included unless explicitly stated.
Payment in full is due at the time of enrollment unless a payment plan has been agreed upon in writing. Certification or completion documentation will not be issued until payment is received in full.
4. TRANSFERS — LIVE TRAININGS
You may transfer your enrollment to a future date one time, subject to availability and the following administrative fees. Transfer requests must be submitted in writing.
- Transfer credits are valid for 12 months from the original event start date.
- Transfer requested 61–90 days before event: $250
- Transfer requested 31–60 days before event: $300
- Transfer requested fewer than 30 days before event: $500
- Transferring forfeits your priority standing in the original program.
5. CANCELLATIONS, REFUNDS & NO-SHOWS — LIVE TRAININGS
Cooling-Off Period: You have 3 days from enrollment (7 days for residents outside the U.S. and Canada) to cancel and receive a full refund of your deposit. After this period, the following applies.
Cancellation 60+ days before event: A refund will be issued minus the deposit and a $1,500 administrative cancellation fee.
Cancellation fewer than 60 days before event: No refund will be issued. Your payment will be applied as a credit toward a future training of your choice within 12 months of your original enrollment date.
No-Show: If you do not attend without written notice, you forfeit your full tuition. At MotivAction LLC's sole discretion, you may be permitted to attend a future training within 12 months.
During Training: No refunds will be issued once a training has begun. If you are found to be disruptive or unfit to participate by MotivAction LLC staff, you will be required to leave immediately and no refund will be given. All training materials must be returned.
Default on Payment Plan: Failure to maintain current payments constitutes default. MotivAction LLC reserves the right to terminate your enrollment. An administrative damages fee of $1,500 applies.
Force Majeure: In the event of a natural disaster, emergency, or other circumstance beyond our control, training may be rescheduled. Tuition will be applied to the next available event. No refunds will be issued for travel, lodging, or meals.
6. ONLINE COURSES
All online course sales are final. Because digital products are delivered immediately upon purchase and access is granted at the time of payment, no refunds will be issued after purchase. If you experience a technical issue preventing access, please contact us at [email protected] and we will work to resolve it.
Online course content is licensed for your personal use only. You may not share login credentials, reproduce, redistribute, or resell any course content.
7. RETREATS
Retreat enrollment is subject to a separate discovery call and approval process. Retreat-specific cancellation and refund terms will be provided in your enrollment agreement at the time of booking and supersede the general live training cancellation policy in Section 5.
All retreat pricing, dates, locations, inclusions, and schedules are subject to change. Airfare is never included. In the event of a force majeure situation, MotivAction LLC will work to reschedule. No refunds will be issued for travel, lodging, or meals booked independently.
8. PRIVATE COACHING
Coaching engagements are entered into via a separate coaching agreement which governs scope, duration, fees, and cancellation. The coaching agreement takes precedence over these general terms for all matters specific to coaching services.
Coaching provided by MotivAction LLC is not therapy. Coaches are not licensed mental health professionals. Coaching is forward-focused and designed to support personal and professional growth. If clinical or therapeutic support is needed, you are encouraged to seek a licensed provider.
9. SPEAKING & CORPORATE TRAINING
Speaking engagements and corporate or organizational training programs are governed by a separate agreement executed between MotivAction LLC and the contracting organization. These general terms apply to the extent not superseded by that agreement.
10. RESULTS DISCLAIMER
Testimonials and results shared on this website and in our marketing reflect individual experiences. Results are not guaranteed and will vary based on individual effort, circumstances, and other factors. MotivAction LLC makes no guarantee that you will achieve similar outcomes.
11. DISCOUNT VERIFICATION
Discounts are subject to eligibility verification by MotivAction LLC. If eligibility cannot be confirmed after enrollment, the full price applies.
12. PHOTO, VIDEO & CONTENT RELEASE
By participating in any MotivAction LLC event, training, retreat, or program, you grant MotivAction LLC a non-exclusive, irrevocable, royalty-free, worldwide license to use your name, image, likeness, and any content (photos, video, testimonials) captured during or submitted in connection with MotivAction LLC programs. This includes use in digital products, social media, marketing, and advertising materials.
You agree that you have no right of approval and no claim to compensation arising from such use. If you wish to request the removal of your content, contact us at [email protected].
You represent that you are 18 years of age or older and have the legal right to grant these permissions.
13. INTELLECTUAL PROPERTY
All website content, course materials, program frameworks — including the C.A.R.E.S.™ methodology — branding, trademarks, and other intellectual property are the exclusive property of MotivAction LLC and are protected by U.S. and international copyright and trademark law. Nothing on this site grants you any right to use MotivAction LLC's trademarks, logos, or proprietary frameworks without prior written consent.
14. WEBSITE USE & ACCURACY
We reserve the right to correct errors, update information, and modify pricing or availability at any time without prior notice. We make no guarantee that information on our website is complete, current, or error-free.
15. TERMINATION
MotivAction LLC reserves the right to terminate or suspend your access to any product, service, online course, or digital community at any time, with or without notice, for any violation of these Terms or for conduct deemed harmful to MotivAction LLC, its staff, or other participants.
16. LIMITATION OF LIABILITY
To the fullest extent permitted by law, MotivAction LLC and its directors, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or website — including loss of profits, data, or goodwill — even if advised of the possibility of such damages.
17. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless MotivAction LLC and its team from any claims, damages, liabilities, or expenses (including attorney's fees) arising from your use of our services or breach of these Terms.
18. GOVERNING LAW
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law provisions. Any dispute not resolved through arbitration shall be brought exclusively in the courts of Travis County, Texas.
19. ARBITRATION
Any controversy or claim arising out of or relating to these Terms or any MotivAction LLC service shall be settled by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. Judgment on the award may be entered in any court of competent jurisdiction.
20. ATTORNEYS' FEES
In any action to enforce these Terms, the prevailing party shall be entitled to recover reasonable attorneys' fees and costs from the non-prevailing party.
21. ASSIGNMENT
These Terms and any enrollment agreement may not be assigned to another individual or entity without the prior written consent of MotivAction LLC.
22. ENTIRE AGREEMENT
These Terms, together with any program-specific enrollment agreement, constitute the entire agreement between you and MotivAction LLC and supersede all prior representations, discussions, or agreements. No verbal representations by any MotivAction LLC representative alter these Terms.
23. SEVERABILITY
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
